CORPORATE LAW

Estate Planning

Arizona residents have the opportunity to form businesses with structures of varying complexity including sole proprietorship, partnerships, and different forms of corporations.

When your business structure calls for a corporation or limited liability company, specific steps must be undertaken for successful formation.

The Law Offices of James E Holland, PC, are available to advise our clients on the most appropriate structure for their businesses as well as the risks and advantages of each.  We are experienced in the processes for successful incorporations, and can ensure that your company meets all legal requirements for the designation.

Corporations

This business structure provides complete separation between the business functions and the personal lives of the owners.  While that is a distinct advantage in liability, it comes with the price of maintaining a corporate operation that includes formal meetings with minutes and resolutions, share holder reports, and detailed tax considerations.  Experienced legal counsel is important not only at formation, but in an advisory capacity throughout the life of the corporation.

Limited Liability

This form of business structure, designated with LLC, is an ownership formation that falls between corporation and partnership.  This structure is typically chosen to provide protection for the members from liabilities of the business.  While there is less paperwork than a corporation, certain steps are still a legal requirement to obtain the LLC designation.  Experienced legal counsel will create and file the necessary paperwork as well as ensure that appropriate advisory public notice is given.
